All-inclusive®️ End User Licence Agreement v1.1 (February 2022)
General
The All-inclusive End User Licence Agreement (“Agreement”) is a contract between Arillatype.Studio, SL, ID: ESB16924631, (henceforth “Arillatype”), and you, the Licensee (the individual, entity, or organisation subject to this Agreement) due to your access or use of the Fonts (digital font files software constituting the typeface) from Arillatype. By purchasing, downloading, installing, or otherwise handling the Fonts, you accept the terms of this Agreement. In accepting them, you acknowledge understanding and complying with its terms.
All-inclusive licence scope
Purchasing the All-inclusive End User Licence, you are obtaining the rights, meaning a non-exclusive, non-transferable, perpetual, and worldwide licence, to use the Fonts as specified in this Agreement. You are not acquiring the copyright or intelectual property the design or any other part of the Fonts. The copyright and intelectual property lie with its original designer.
You may install the Fonts on any number of devices within your organisation. The Agreement permits you to use the Fonts in any kind of project developed by the licensee on its behalf. This includes, but is not limited to desktop, web, app, game, or broadcast.
The Fonts included with this Agreement are a full version and the Fonts are available in OpenType Font format (.otf), Web Open Font Format (.woff, .woff2) and Variable Font technology (.ttf, .woff, .woff2).
The All-Inclusive End User Licence cost is based on the Licensee size (the number of employees, including temporary staff, working for the Licensee). If the Licensee size increases in the future, this Agreement remains valid if the Licensee size was correctly stated at the purchasing time.
If a Third Party (individual, design agency, or another provider) purchases the All-inclusive End User Licence on behalf of the Licensee (their client), it has to provide the Licensee name and size in the checkout process.
If you are acting on behalf of an end user, you must ensure that the end user accepts this Agreement as it is.
The Licensee is permitted to send copies of the Fonts to a Third Party to use them, in accordance with this Agreement and exclusively on behalf of the Licensee. You must ensure that any Third Party read and agree to the terms of this Agreement before receiving the Fonts. If a Third Party stops working for the Licensee, it must destroy all copies of the Fonts on its possession. Third Party is not permitted to use the Fonts on its own behalf or for any different party than the Licensee unless Arillatype grants a specific exception.
All rights not expressly granted by this Agreement are reserved by Arillatype.
General restrictions
You must not use the Fonts in projects for other entities.
You must not modify, adapt, translate, reverse engineer, decompile, disassemble, edit, reformat, alter, or otherwise attempt to discover the source code of the Fonts or the designs embodied therein. This includes you must not create derivative works of the Fonts or engage any third party to do so to customise their own designs or to create static documents or images.
Term
This contract shall automatically terminate upon failure by the Licensee (or any authorised person whom the Licensee has given permission to use the Fonts) over the terms of this Agreement. The termination of the Agreement shall not preclude Arillatype from suing the Licensee for damages of any breach of the Agreement. Additionally, Arillatype reserves the right to charge you the cost of a licence covering your actual usage of the Fonts, on a per-infringement basis.
Warranty
Arillatype makes no warranty, express or implied, that this Fonts are suitable for any specific purpose. Arillatype shall in no event be liable to you or any other third party for any direct, indirect, consequential, or incidental damages arising out of the use or inability to use the Fonts, even if notified in advance.
You agree to indemnify and hold Arillatype harmless from and against any claims or damage which may result from your misuse of the Fonts or breach of this Agreement.
Legal
The Licensee acknowledges that the typeface design and Font software are protected by the copyright, design, and other intellectual property laws of Spain, by the copyright and design laws of other nations, and by international treaties.
This Agreement supersedes any prior discussions or negotiations, whether verbal or in writing. No amendment, modification or waiver will be valid or enforceable unless materialised in an agreement signed by Arillatype.
If any part of this Agreement is found unenforceable, it will not affect the validity of the rest of it, which shall remain valid and enforceable according to its terms. Arillatype’s failure or election not to enforce a provision of this Agreement is not a waiver of its right to do so later.
